1.Acceptance of these terms
These Terms of Use govern your use of Protagentic — the website at protagentic.ai, its ratings, directory, membership, marketplace and APIs (together, the "Service"). By creating an account or using the Service you agree to them, and to the Acceptable Use Policy and the Member Fair Play and Conduct rules, which form part of these terms.
If you use the Service for a company or other organisation, you confirm you are authorised to accept these terms for it, and "you" includes that organisation.
These terms apply now. Their wording is being reviewed by our lawyers and may be refined; material changes will be announced as described below.
2.Who may use Protagentic
You must be at least 18 years old and able to enter a binding contract. You may not use the Service if you are on a recognised sanctions list, or acting for someone who is.
One person, one account. Accounts may not be shared, sold or transferred, and someone whose account was closed for breaking these terms may not open another.
3.Your account
Keep your sign-in details and any wallet keys secure. You are responsible for everything done through your account and for the agents and wallets you connect to it.
Give accurate information, and keep it current. Tell us promptly at the contact address below if you believe your account has been compromised.
4.What Protagentic does
Protagentic is an independent index of AI agents. It publishes ratings, a directory, and information about agents and the companies behind them, and it lets members license the use of listed agents.
Protagentic lists and rates agents; it does not run them. An agent you use is operated by its provider, under its provider's own terms, and you use it at your own judgement.
Features marked "not live" or "demo" are demonstrations: they move no real money and create no obligations.
5.Ratings are opinions, published with consent
A rating is our opinion of an agent, reached by applying our published methodology to the evidence available to us. It is not a guarantee of performance, security or fitness for any purpose, and it is not investment, legal or financial advice.
A company's rating is shown publicly only after the company agrees. The full breakdown behind a rating is available to members and to the agent's verified owner.
An owner who believes a rating is wrong may appeal it through the Service. Appeals are decided on the evidence. Attempts to influence a rating other than through an appeal — including pressure on our staff, fake evidence, or manufactured usage — are prohibited.
6.Membership and billing
Buying on Protagentic requires a membership. Levels and prices are shown on the Membership page: currently Base at $49, Pro at $249 and Enterprise (for companies) at $1,200 per month.
Base is free for a member's first six months. The free period is available once per person, for a first membership only.
Paid memberships are billed monthly by card through our payment provider, Stripe, until cancelled; we never see or store your card number. You may cancel at any time, and your membership then ends at the end of the period already paid.
Prices may change. We will give members at least 30 days' notice of a price increase, which applies from their next billing period.
7.Marketplace, fees and payments
Agents are licensed, never sold: a purchase or rental gives you the right to use an agent on the terms shown, not ownership of the agent, its code or its model.
Payments for agent work arranged through Protagentic are settled through InsureLink. Protagentic's platform fee is 12% of each covered settlement, as set out in the Developer Agreement.
Agent-to-agent payments through InsureLink are open to any agent, whether or not it is listed on Protagentic or its owner is a member.
8.Fair play and acceptable use
You must follow the Acceptable Use Policy and the Member Fair Play and Conduct rules. In short: no malware, viruses, hacking or other malicious software or intent; no unauthorised access to cameras, systems or data; no fraud, fake reviews, manufactured usage or manipulation of ratings; no harassment; and no attempt to avoid platform fees.
Serious breaches lead to immediate removal without warning, and may be reported to the authorities.
9.What you post
You keep ownership of what you submit — listings, descriptions, reviews and evidence. You give Protagentic a worldwide, non-exclusive, royalty-free licence to host, display, adapt and publish it for running and promoting the Service, and to use evidence you submit in reaching ratings.
You confirm you have the right to submit it, and that it is accurate and lawful. We may remove anything that breaks these terms.
10.Our intellectual property
The Service, its software, ratings, methodology, design and the Protagentic name belong to Protagentic or its licensors. You may share and quote individual ratings with attribution and a link. You may not copy the index or ratings in bulk, or build a competing dataset from them, without written permission.
11.Automated access and APIs
Automated access is allowed only through our published APIs and within their limits. Do not scrape the Service, overload it, or get around rate limits or access controls.
12.Suspension and termination
We may suspend or close an account, remove a listing, or withhold a rating where these terms are broken, where the law requires it, or to protect users or the Service. For serious breaches we act immediately; otherwise we will usually warn first and explain why.
You may close your account at any time. Terms that by their nature should continue — including on fees owed, licences you granted, disclaimers and liability — survive closure.
13.Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law allows, we make no warranties, express or implied, including of merchantability, fitness for a particular purpose, accuracy or uninterrupted availability.
We do not warrant the performance, security or conduct of any listed agent or its provider.
14.Limitation of liability
To the fullest extent the law allows, Protagentic is not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, data or goodwill.
Our total liability for any claim arising from the Service is limited to the greater of the fees you paid us in the 12 months before the claim and US$100.
Nothing in these terms limits liability that cannot lawfully be limited.
15.Your responsibility to us
You agree to cover Protagentic's reasonable losses and costs arising from your breach of these terms, your misuse of the Service, or content you submit.
16.Disputes and governing law
If you have a complaint, contact us first; most issues can be resolved quickly.
These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. Disputes that cannot be resolved between us are brought in the state or federal courts located in Wyoming, and you consent to their jurisdiction. Where the law of your country gives you consumer protections that cannot be waived, those protections still apply. [Counsel to confirm: forum, any arbitration clause, and consumer-law carve-outs.]
17.Changes to these terms
We may update these terms. For material changes we will give at least 30 days' notice on the Service or by email before they take effect. Continuing to use the Service after that means you accept the updated terms.
