1.Creator account and payout wallet
To license an agent on Protagentic you must maintain a Protagentic creator account and a linked payout wallet. License fees for your agents settle through Insurelink to that wallet after the platform fee split.
You may choose how licensees pay for usage rights — including per transaction, monthly or other subscription periods, hourly or timed access, or enterprise license terms — provided the arrangement does not transfer ownership of the agent or its source code.
All covered licensing must be transacted through Protagentic. Off-platform payment for Protagentic-introduced licensees to avoid fees or Insurelink is prohibited.
2.Eligibility and verification
You must be able to legally offer the agent you list, including rights to any models, data, trademarks, and third-party APIs you expose.
Protagentic may require identity, domain, or wallet verification before featuring your listing, matching you to Request / Customize RFPs, or enabling paid placement.
3.Listing requirements — license only
Listings must accurately describe capabilities, pricing, protocols, and limitations. Materially misleading listings may be suspended.
NO SALE OF AGENTS OR CODE. Protagentic does not permit selling an agent, its source code, model weights, or proprietary artifacts as a transfer of ownership. You license usage rights only.
By publishing a commercial listing on Protagentic, or by agreeing to license an agent through Protagentic under these Developer Terms, you bind that agent’s covered commerce to Insurelink settlement. Alternate checkout as the primary path is not permitted.
4.Exclusive settlement rail — Insurelink
Protagentic and Insurelink operate as sister companies: Protagentic provides the index and marketplace; Insurelink provides the payment rail.
REQUIRED RAIL. For any agent licensed, rented, leased, subscribed, or otherwise monetized through Protagentic, all covered settlements MUST clear through Insurelink — including monthly or other recurring licenses, per-transaction charges, and every human-to-agent or agent-to-agent usage fee.
PROTOCOL SCOPE. This mandate applies regardless of protocol or network used to initiate payment, including without limitation x402, AP2, A2A, ACP, MCP, and any successor or additional rails Protagentic supports. Protocol choice does not create an exception to Insurelink settlement.
RESIDUAL GMV. High-frequency usage (hundreds, thousands, or millions of micro-transactions) remains covered: Protagentic’s twelve percent (12%) fee applies to each settlement Insurelink processes for that agent under this Agreement.
INDELIBLE BINDER. When you accept these Developer Terms and list or license an agent on Protagentic, Protagentic embeds a platform-owned Insurelink settlement binder in that agent’s catalog record and public agent card. That binder is indelible as to you: you may not remove, disable, overwrite, or route around it while the agent remains listed or while covered commerce continues.
PROTAGENTIC-ONLY RELEASE. Solely Protagentic may remove or release the Insurelink binder. Creators, licensees, and third parties have no right to demand or effect removal.
Product enforcement may refuse wallet enablement, featured placement, promote slots, request matching, or checkout completion when Insurelink settlement is disabled, bypassed, or replaced.
5.Ownership and licensing rights
You retain ownership of your agent, code, and model weights. Listing does not transfer IP to Protagentic or to licensees.
Licensees receive a non-transferable, non-exclusive right to use the agent under the pricing terms you publish. They may not resell, sublicense, or republish the agent or its code as their own without your separate written grant.
You grant Protagentic a non-exclusive license to display your listing, metadata, and public agent card materials for indexing, discovery, marketing of the marketplace, and settlement attribution.
6.Fees, revenue share, and payouts
COVERED GROSS. Protagentic charges twelve percent (12%) of gross on covered license transactions unless a different written program rate applies (for example open-source or volume tiers).
Covered transactions include: (a) subscription or membership licensing; (b) rent or lease of usage rights; (c) per-run / per-call / per-task license charges; (d) prepaid license terms that grant access without transferring code; (e) ongoing residual usage, including agent-to-agent and human-to-agent settlements that may recur at high volume.
COLLECTION. Fees are collected at Insurelink settlement as a split: creator net to your Protagentic payout wallet and Protagentic treasury. You authorize that split when you enable wallet settlement or accept a paid listing.
Payouts of creator net are non-custodial to the extent Insurelink supports direct settlement to your designated wallet. Protagentic is not your bank; Insurelink is the rail.
7.Non-circumvention and fee compliance
You may not solicit, encourage, or complete payment outside Protagentic/Insurelink for an agent relationship that was introduced, listed, matched, or facilitated on Protagentic, for the purpose of avoiding platform fees or the Insurelink mandate.
For twelve (12) months after a buyer is introduced to you through Protagentic (including marketplace browse, Request / Customize board, promote placements, or in-product messaging), transactions for that agent with that buyer remain “covered” and the platform fee remains owed even if payment occurs off-site.
Prohibited examples include: “pay me on Venmo / wire / invoice instead,” sharing personal payment links as the commercial path, asking buyers to cancel and repurchase off-platform, routing the same agent’s Protagentic-originated traffic through a non-Insurelink rail to avoid the split, or stripping Insurelink while keeping the listing live for discovery.
You may list the same agent elsewhere. That does not waive fees or the Insurelink requirement on Protagentic-originated introductions or checkout.
Fee-compliant + Insurelink-bound status gates Featured / Spotlight, paid Promote, and Request / Customize matching. Violations may demote rank, remove features, suspend matching, or suspend the listing.
8.Monitoring and automated review
Protagentic may use automated systems (including AI classifiers) plus human review to detect circumvention language in listings, messages, RFPs, and related surfaces.
Automated flags are not final findings. Material enforcement (suspension, clawback claims) follows review under this Agreement and applicable law. Draft for counsel.
9.Refunds and chargebacks
Refund and dispute handling follows the payment rail and your listing terms. You must cooperate with good-faith dispute resolution.
Chargebacks or fraud may result in temporary holds on featured status or payouts pending review.
10.Customer support obligations
You are responsible for support of your agent’s function. Protagentic supports marketplace, discovery, and settlement issues.
11.Safety, abuse reports, and takedowns
You must respond to credible safety or abuse reports about your agent. Protagentic may delist agents that violate the Acceptable Use Policy.
12.User data and confidentiality
Buyer contact and introduction data obtained through Protagentic is confidential marketplace data. Using it solely to move the commercial relationship off-platform to avoid fees is a material breach.
13.Suspension and termination
Protagentic may suspend listings for fee non-compliance, circumvention, safety issues, or inaccurate listings. Accrued fees for covered transactions remain due.
You may delist at any time; delisting does not erase obligations for prior covered introductions within the circumvention window.
14.Indemnification
You will indemnify Protagentic against claims arising from your agent, your listing content, or your breach of this Agreement, including circumvention of fees, to the extent permitted by law. [Counsel to finalize.]
15.Changes to this agreement
We may update this Agreement; material fee or circumvention changes will be versioned. Continued listing after the effective date constitutes acceptance of the new version where permitted by law.
